Guidelines and policies for using our services
Prep and Account fees
Account and prep fees will be charged based on the option chosen by the client. The client is responsible for all shipping costs, either through their Seller Central account or as direct charges incurred by HexPrep. This includes, but is not limited to, fees for returns, hazardous material shipments, or any other shipments requested by the client.
Billing
We will bill every Friday for the shipments of units that left our warehouse. Exceptions to billing policies may be made at HexPrep’s discretion, based on the agreement with each client.
Clients have 3 business days to resolve any payment issues. If payment is not made within this period, we will suspend prep of your inventory, and a 10% late payment fee will be applied.
Invoices over 3 business days past due will accrue a late payment fee of 10% per month. HexPrep shall have a lien on the Goods tendered by the Client and on any and all property belonging to the Client in HexPrep’s possession, custody, or control for all charges, advances, or amounts of any kind due to HexPrep under this Warehouse Receipt or any prior or subsequent invoices issued to the Client by HexPrep (including charges for prep, processing, storage, handling, shipping, transportation, labor, and any other charges incurred).
HexPrep shall have a lien on the Goods and may refuse to surrender possession of the Goods until all charges or debts are paid in full. If such amounts remain unpaid for 30 days after HexPrep’s demand for payment, HexPrep may sell the Goods at public auction, private sale, or in any other reasonable manner and shall apply the proceeds of such sale to the amounts owed. The Client remains responsible for any deficiency outstanding to HexPrep.
Disposal
HexPrep will handle the disposal of any product at the Client’s request without any additional fee. Once a disposal request is submitted, ownership of the product transfers to HexPrep, and it will be disposed of at HexPrep’s discretion.
Processing Time
At HexPrep, processing times depend on various factors, but we strive to complete at least one shipment per week or more based on the inventory we receive from our clients. During peak seasons, from May to July and September to December, processing times may be longer. Our team observes several holidays, including New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, and Christmas. Additionally, we may have limited hours or closures on Christmas Eve and New Year’s Eve.
Liability
HexPrep’s duty of care shall be that of a reasonably careful person under similar circumstances, and HexPrep shall not be liable for any loss, damage, or injury to goods stored, however caused, unless such loss, damage, or injury resulted from HexPrep’s failure to exercise reasonable care. HexPrep is not liable for losses, damages, or injuries that could not have been avoided through the exercise of such care. HexPrep and the Client agree that HexPrep’s duty of care does not extend to providing a sprinkler system at the warehouse complex or any part of it. Under no circumstances shall HexPrep be liable for any loss or damage caused by: a) acts of God; public authorities acting with actual or apparent authority; strikes; labor disputes; weather; mechanical or equipment failures; cyber attacks; civil commotions; hazards of war; acts of terrorism; acts or omissions of customs or quarantine officials; carrier actions related to security; the nature of the freight or its defects; inherent vice of the goods; perishable qualities of the merchandise; fires; frost or changes in weather; sprinkler leakage; floods; wind; storms; moths; public enemies; or other causes beyond its control; b) fragile items damaged unless packed by HexPrep employees and unpacked by them upon delivery; c) pilferage or theft unless caused by HexPrep’s failure to exercise ordinary care required by law; and d) concealed damage or losses incurred due to concealed damage of the Goods.
Unless specifically agreed to in writing, HexPrep will not be responsible for storing Goods in a temperature- or humidity-controlled environment. The Client acknowledges that the Goods will be stored in a non-temperature-/humidity-controlled warehouse. HexPrep will not be liable for any loss or damage to Goods resulting from temperature or humidity fluctuations. Additionally, HexPrep is not responsible for losses or damages to perishable goods unless otherwise agreed to in writing before the Goods are stored.
In the event of loss or damage to Goods for which HexPrep is legally liable, HexPrep’s liability shall be limited to the cost of the Goods paid by the Client at the time of purchase. HexPrep will not be liable for shipment-level, box-level, or product-level errors as reported by Amazon unless such errors result from HexPrep’s failure to exercise reasonable care in processing the products. If it is determined that HexPrep’s lack of care caused the error, HexPrep will reimburse the Client for charges or fines imposed by Amazon, including removal charges. In the event of loss of Goods for which HexPrep is legally liable, HexPrep’s liability will be limited to the cost of the Goods paid by the Client at the time of purchase.
IN NO EVENT, WHETHER DUE TO A BREACH OF DUTIES, NEGLIGENCE, LIABILITY WITHOUT FAULT, OR ANY OTHER LEGAL THEORY, SHALL HEXPREP BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS OR MARKET VALUE, LOSS OF INCOME, DAMAGES FROM LOSS, ATTORNEY’S FEES, WRONG DELIVERY, PROPERTY DAMAGE, LOSS OF USE OF GOODS, COST OF SUBSTITUTE GOODS, DELAYED DELIVERY, OR FAILURE TO ATTEMPT DELIVERY, EVEN IF HEXPREP HAD KNOWLEDGE THAT SUCH DAMAGES OR LOSSES COULD OCCUR.
Damaged Goods
If a product arrives damaged, HexPrep will document the condition of the goods upon receipt and promptly inform the Client. The Client then has 7 business days to advise HexPrep on the next steps, whether that be returning the product, shipping it back to the Client, storing it, or disposing of it.
It is the Client’s responsibility to reach out to the retailer for any returns or replacements. Any necessary labor involved will incur a charge as appropriate.
Unprocessable Items
Items that cannot be shipped to Amazon—such as those damaged upon arrival, incorrectly fulfilled by the retailer, lacking an Amazon listing, under hazmat review, unauthorized for sale by the Client, or due to any other issue—are considered Unprocessable. The Client must resolve these issues within 30 days. Applicable storage fees and labor charges will apply. The Client may opt to have these items shipped back to them or to another designated location at their own expense. Any items that remain unaddressed after the 30-day period will become the property of HexPrep and will be disposed of as deemed appropriate.
Storage
We do not offer long-term storage. For FBM and resellers, it is ideal to sell through your inventory within one month. If inventory is stored for longer than one month, additional fees will apply.
Agreeing to Terms
By sending items to HexPrep, the Client acknowledges and agrees to all the terms outlined in our Terms of Service.
